The Legal & Compliance Counsel will report to the Legal Director of Noatum Maritime Services and will ensure the company operates in full compliance with all statutory, legal and internal policies and requirements by developing and monitoring compliance programs, proactively identifying and mitigating risks before escalation, conducting reviews and providing expert guidance on legal and ethical standards to uphold the organization’s integrity.
In addition to compliance responsibilities, the Legal & Compliance Counsel will provide comprehensive legal support to the business by drafting, reviewing, negotiating and advising on commercial contracts, ensuring legal risks are identified, escalated, and effectively managed in alignment with applicable laws and the Group’s legal standards.
Key Responsibilities:
- Advise internal departments and employees on sanctions, AML, ABAC and other compliance -related matters.
- Develop and Implement Policies and procedures: Create, update, and enforce internal compliance policies, procedures, and control systems aligned with applicable laws and industry regulations and with AD Ports Compliance requirements.
- Support corporate housekeeping: Assist with the preparation, update and maintenance of corporate records, board resolutions, powers of attorney and local statutory documentation.
- Draft, review and negotiate commercial contracts: Prepare, assess and negotiate a wide range of legal documents, including service agreements, procurement contracts, NDAs, addenda, and corporate documentation, ensuring alignment with internal policies and applicable laws.
- Monitor Regulatory Compliance: Ensure adherence to local and international regulatory frameworks (e.g., ABAC, AML, sanctions, trade compliance). Ensure continuous update of the policies in line with the applicable law(s), monitoring legislative amendments and update the Legal Director accordingly.
- Provide day-to-day legal advice: Advise business units on legal matters relating to operations, data protection, corporate governance, contractual obligations, and dispute management.
- Support reviews and Risk Assessments: support the Global function in the conduction of regular reviews and risk assessments to identify non-compliance areas and recommend corrective actions.
- Manage Reporting Obligations: Prepare and submit compliance reports to regulatory authorities and senior management in a timely and accurate manner.
- Manage external counsel: Coordinate with external lawyers when necessary, ensuring efficient case management, review of opinions and cost control.
- Investigate Compliance Incidents: Investigate suspected violations or breaches, document findings, and support the implementation of remediation plans.
- Training and Awareness: Deliver compliance training and awareness programs to promote a culture of integrity and accountability across the organization.
- Maintain Compliance Records: Ensure accurate documentation of all compliance activities, including audit results, policy updates, approvals, and risk mitigation actions.
- Any other mandates that may be given by the Corporate Compliance team or the Cluster to ensure effective implementation of AD Ports Compliance and industry related regulatory compliance within the Company.

Minimum requirements
- Bachelor's degree in law or related field. Master's degree is a plus.
- Minimum 5 years of experience in a similar role.
- Strong knowledge of contract law, commercial law and corporate governance requirements applicable to multinational groups.
- Experience drafting and negotiating commercial contracts in an international business environment.
- Knowledge of AML, ABAC and sanctions compliance frameworks and regulatory environments.
- Experience with compliance management systems and tools is an advantage.
- Knowledge of data protection regulations (e.g., GDPR) is an advantage.
- Fluent in English (spoken and written). Spanish fluency is a plus.
- Any other languages are valued.
- Experience in regulatory compliance, preferably international trade sectors.
